Megan Ollivier has a corporate commercial law practice with a focus on commercial transactions within the energy sector and private mergers and acquisitions.

Megan has experience representing energy companies on a broad range of commercial transactions in Canada, including the negotiation and drafting of purchase and sale, joint venture, joint operating and partnership agreements. She also assists clients on the negotiation and drafting of energy contracts related to the development of petroleum, natural gas, oil sands and renewable resources.

Megan regularly acts for buyers and sellers with respect to private merger and acquisition transactions, including asset and share purchase transactions, amalgamations and corporate reorganizations.

Megan is a member of the Canadian Energy Law Foundation.

Prior to her bar call, Megan summered and articled at the firm.

Recent Experience

Repsol Oil & Gas Canada Inc. in a series of four divestitures of certain upstream oil and gas assets.
A subsidiary of Suncor Energy, together with co-purchasers Husky Atlantic Partnership (a subsidiary of Cenovus Energy Inc.) and Murphy Oil Company Ltd., in the restructuring of project ownership for the offshore Terra Nova Project in Newfoundland through the acquisition of additional project interests from exiting owners for an undisclosed purchase price.
An Ontario-based investor in the $54.9-million sale of certain pipeline and related assets located in British Columbia.
ATCO Ltd., through Canadian Utilities Limited, in its acquisition from Aura Power Renewables of the 39 MW Empress solar project located in eastern Alberta.
ATCO Ltd., through Canadian Utilities Limited, in its acquisition from DP Energy of the Barlow (27 MW) and Deerfoot (37 MW) solar projects located in Calgary, which will be the largest solar installation in a major urban centre in Western Canada.
Heritage Royalty in its $728-million sale of certain Western Canadian royalty assets, including 1.9 million acres of royalty lands throughout Alberta, Saskatchewan and Manitoba, to PrairieSky Royalty.
OPTrust, in connection with the formation and limited recourse financing of a partnership with six Alberta First Nations which in turn participated in the equity syndication and project financing of the $1.5-billion Cascade Power Project to be developed near Edson, Alberta and operated by Calgary based developer Kineticor. This equity investment marks the first transaction supported by the Alberta Indigenous Opportunities Corporation (AIOC), who provided a loan guarantee supporting the credit and financing arrangements between ATB, OPTrust, Kineticor and the First Nations consortium which ultimately facilitated the equity participation by Indigenous communities in the Cascade project.
CSV Midstream Solutions in its $470-million acquisition of Paramount Resources Ltd's Karr 6-18 natural gas facility and related midstream assets. 
Civeo Corporation, in its $367-million acquisition of Noralta Lodge Ltd.
Schlumberger Production Management, on the purchase of the Palliser Block assets in Alberta from Cenovus Energy Inc. for cash consideration of $1.3 billion.
Canadian Natural Resources Limited, in completing C$12.74-billion acquisition of a 70 percent working interest in the Athabasca Oil Sands Project and other oil sands assets.
Paramount Resources Ltd., in the sale of sour gas processing assets in north western Alberta to Pembina Gas Services Limited Partnership, a wholly owned subsidiary of Pembina Pipeline Corporation, for $600 million.
Underwriters, in multiple bond offerings by the Province of Alberta in aggregate principal amount of approximately $6.6 billion in 2015.
Eagle Energy Trust, a TSX-listed oil and gas trust, in its acquisition of Coda Petroleum Inc. for approximately $30 million (cash and assumed debt).
Encana Corp., in its sale of gas pipeline and processing assets in Western Canada's Montney region to a partnership of Veresen Inc. and KKR & Co. LP for approximately $760 million. Veresen Midstream, a joint venture of Veresen Inc. and KKR & Co. LP, will also invest up to $5 billion to support future production in the Montney, a massive liquids-rich natural gas play that straddles the Alberta-British Columbia border. Veresen Midstream will also provide midstream services to Encana in connection with the acquired and future assets.
Anderson Energy Ltd., an Alberta-based oil and gas company, in its acquisition by Freehold Royalties Ltd. and related reorganization pursuant to a plan of arrangement.
Canadian Non-Operated Resources I Ltd., in its $500-million Peace River High purchase from and joint venture with Tourmaline Oil Corp.
NCSG Crane & Heavy Haul Services Corporation, and the shareholders thereof, in the sale of a majority stake in NCSG to an investor syndicate led by TriWest Capital Partners IV, L.P. and Alberta Teachers Retirement Fund Board.
TriWest Capital Partners IV, L.P., invested in Colter Energy Services Inc. and Colter Production Testing Services Inc. in partnership with Colter's senior management team and the existing Principals.
