James Morand is a corporate tax lawyer with 30 years of experience in mergers and acquisitions, financing, restructuring and dispute resolution.

Jim offers clients considerable experience in the reorganization of financially troubled companies. He advised on many complex restructurings. His most recent experience involves significant cross-border M&A transactions in the cannabis sector.

He is consistently recognized as a tax law leader by Canadian and global legal directories. He speaks, writes and comments on important trends in tax that affect businesses in Canada and internationally.

Jim was previously chair of the taxation group at a national Canadian law firm.

Recent Experience

TerrAscend Corp., in its arrangement with Canopy USA, LLC to convert $125.5M in debt to securities.
Field Trip Health Ltd., in the spin-out of its drug development and medical clinics businesses into two independent public companies, Reunion Neuroscience and Field Trip Health & Wellness, by plan of arrangement.  The spin-out transaction was supported by a private placement financing led by Oasis Management Company.
Cantor Fitzgerald Canada Corporation, in an up to US$35-million at-the-market equity program for the sale of common shares pursuant to an equity distribution agreement with Cybin Inc. (NEO: CYBN) (NYSE American: CYBN).
Asante Gold Corporation in its US$225-Million share purchase agreement with Kinross Gold Corporation to acquire Kinross’ 90% interest in the Chirano Gold Mine.
Lineage Logistics, an international refrigerated warehousing and storage company owned by Bay Grove Capital, on its acquisition of VersaCold Logistics Services, a Canadian refrigerated warehousing company with fully integrated logistics capabilities, from Torquest Partners, The Investment Management Corporation of Ontario and OPTrust.
Cresco Labs Inc. in its US$2-billion acquisition of Columbia Care Inc., making Cresco the second-largest cannabis producer and retailer in the U.S. at the time of the transaction.
ecobee Inc. in the US$770-million acquisition by Generac Holdings Inc. of all of ecobee Inc.'s outstanding securities by way of a plan of arrangement under the Canada Business Corporations Act.
A syndicate of underwriters, led by Leede Jones Gable Inc., in the $4.6-million bought-deal of Plurilock Security Inc.
48North Cannabis Corp. in its $50-million acquisition by HEXO Corp. 
Datasite LLC, a portfolio company of CapVest Partners LLP, in its acquisition of Firmex Inc., a leading virtual data room and subscription file-sharing provider.
ArcelorMittal Canada Inc., a subsidiary of ArcelorMittal, S.A., the world's leading steel and mining company, in connection with the reorganization and financing of the Mary River Iron Ore Project in Baffin Island, Nunavut.
