Drew Broughton has a general corporate and commercial law practice, with a focus on mergers and acquisitions, private equity, corporate finance and securities law.

Drew has extensive experience advising buyers and sellers with respect to merger and acquisitions transactions, both public and private, including Canadian and international takeover bids, plans of arrangement, distressed transaction, along with more straightforward asset and share purchase transactions. Acting for clients in the oil and gas, energy services, construction, agribusiness and technology industries, he is able to negotiate and complete both complex and simple merger and acquisition transactions. Drew has also acted in a number of private equity transactions, and works closely with private equity funds and companies to achieve synergies.

Drew has been involved in a number of public and private offerings of equity and debt securities, including initial public offerings, prospectus offerings, private placements and subscription receipts, acting for both issuers and underwriters. His corporate governance work includes advising clients on general compliance matters.

Drew is located in our Alberta offices, but has assisted clients based throughout Canada, in the United States and overseas.

Powell Industries, Inc. in the sale of its Canadian valve subsidiary to Tundra Process Solutions Ltd., a wholly owned subsidiary of Wajax Corporation.
Stantec Inc., as issuer in a $300-million offering of senior unsecured notes by way of private placement.
NCSG Crane Heavy Haul, in the sale of its assets and business in the western region of the United States to Maxim Crane Works, L.P.
Inuvialuit Development Corporation, as owner of Canadian North airline, in the merger of Canadian North and First Air (owned by Makivik Corporation), to create a Inuit-owned unified northern Canadian airline.
Kissner Group Holdings LP, completed its acquisition of NSC Minerals Ltd., a market-leading provider of salt products in Western Canada and the North Central United States, from an investor group led by Altas Partners.
ZCL Composites Inc., in its approximately $312-million acquisition by Shawcor Ltd. by way of plan of arrangement.
PricewaterhouseCoopers Inc., in Anterra Energy Inc. CCAA proceedings.
Marquee Energy Ltd., in its business combination with Alberta Oilsands Inc. by way of court-approved plan of arrangement. 
Sanjel Corporation, an Alberta-based energy services and pressure pumping company, in the sale of its US fracturing, coiled tubing and cementing assets to Liberty Oilfield Services Holdings LLC.
Sanjel Corporation, an Alberta-based energy services and pressure pumping company, in the sale of its Canadian fracturing, coiled tubing and cementing assets to STEP Energy Services Ltd. and 1961531 Alberta Ltd.
Alberta-based oilfield services company, with operations in North American and the Middle East, in its US$26-million disposition of its business and operating assets to a US-based strategic buyer.
Progressive Home Warranty Solutions Inc. and Pacific Home Warranty Insurance Services Inc., in the sale of all of the shares and business of PHWG Group to Hub International Limited.
Enerbuilt Technologies Inc., in the sale of all of its assets and business to Flameless Solutions Inc., a related entity to WesternOne Inc., a reporting issuer, for consideration of cash and securities of WesternOne Inc., and related pre-closing reorganization of Enerbuilt Technologies Inc.
Parkland Fuel Corporation, North America's fastest growing distributor and marketer of fuels and lubricants, in its proposed $378-million purchase of assets of Pioneer Energy.
NCSG Crane & Heavy Haul Services Corporation, and the shareholders thereof, in the sale of a majority stake in NCSG to an investor syndicate led by TriWest Capital Partners IV, L.P. and Alberta Teachers Retirement Fund Board.

Pine Cliff Energy Ltd., in a $25-million public offering of common shares on a bought deal basis.
Northern Frontier Corp., a TSX Venture Exchange listed capital pool corporation, in the completion of its previously announced acquisition of the NEC Group and certain assets used in the operation of the NEC Group's business.
Pipeworx Ltd., a widely held private business (with operations in Alberta, British Columbia, Saskatchewan and Manitoba), in the sale of all of the shares in the capital of Pipeworx Ltd. to PLH Group, Inc. (a US-based portfolio company of Energy Capital Partners (being a US private equity firm)), by way of an exempt take-over bid
Parkland Fuel Corporation, in its $95-million acquisition of the assets of Elbow River Marketing Limited Partnership.
The private equity firm, Banyan Capital Partners Inc., via Tartan Canada Corporation, one of Banyan's portfolio companies, acquired Arc Line Construction Ltd. and JDK Rentals Ltd., concurrent with Tartan completing a senior debt facility financing with Alberta Treasury Branches and an exempt market private placement equity financing
Flint Energy Services, in its acquisition by URS Corp for $1.25 billion pursuant to a plan of arrangement.
Veresen Inc., in its $303-million bought deal financing.
Flint Energy Services, in its US$138-million acquisition of Carson Energy Services.
MEG Energy Corp.. in its completed initial public offering of its common shares on August 6, 2010.  A total of 20,000,000 shares were issued at $35.00 per share, for aggregated gross proceeds of $700,000,000.
Flint Energy Services Ltd., in its acquisition of PES Surface Inc. for approximately $8 million.
Killam Properties Inc., in a short form prospectus offering for approximately $50 million.
Parkland Income Fund, in its acquisition of Bluewave Energy for $231 million from Birch Hill Equity Partners, Bluewave executives and employees and a group of founding investors.
NAL Oil & Gas Trust, in its $400-million acquisition of Breaker Energy Ltd.
Parkland Income Fund, in its $97,750,000 offering of subordinated debentures.
Pengrowth Energy Trust, in the completed offering of 28,847,000 trust units for gross proceeds of $300 million.
